TERMS AND CONDITIONS OF THE HAPPY LOYALTY PROGRAM OF THE NEP lojaliti ltd. export-import Skopje

1. Introduction

1.1. The terms and conditions (hereinafter referred to as: the Terms) for membership with the HAPPY Loyalty Program of the NEP Lojaliti ltd. export-import Skopje (hereinafter referred to as: the Program) include the conditions for use, as well as all the other applicable terms, requirements, rights and duties that stem from the Program membership. The terms, together with any other applicable terms and conditions in relation to any promotional offers that might be sent to the members of the Program, represent a an agreement between the Program Member and the Program. By becoming a Program member, and by using it, the members agree to the terms, conditions, requirements, authorizations and limitations set out in these Terms. The NEP Lojaliti ltd. export-import Skopje, as the owner of the Loyalty Program reserves the right to carry out amendments and/or supplements to the Terms or makes modifications or abolishes the Program. All amendments shall be published on the website of the NEP Lojaliti ltd. export-import Skopje, www.happycard.mk, before they get into force. 

1.2. A private person can become a Program member by obtaining the co-branded credit card “Mastercard World HaPPy Card” (a co-branded card) issued by the NLB Bank AD Skopje (hereinafter referred to as: the Bank or the issuer of the co-branded card), that is, by signing a CONTRACT FOR OBTAINING AND USING THE “Mastercard World HaPPy Card” CO-BRANDED CARD with the Bank. The co-branded card represents a confirmation for membership with the Program. In order to obtain the rights and benefits of the Program, the Program Members, during their purchase at the sales locations of the Program partnership trading network, need to make payments using the co-branded card at the Bank’s POS Terminal.

1.3. The Terms and Conditions of the Program, and the application and approval conditions for the co-branded card are publicly available and can be accessed to at any time on the website of the NEP Lojaliti ltd. export-import Skopje, www.happycard.mk and the website of the NLB Bank AD Skopje www.nlb.mk


2. Definitions:

2.1. “Terms and Conditions” mean contractual provisions with which are regulated the terms, conditions, the rights and duties that stem from the Program membership;

2.2. “The HAPPY loyalty program” or “the Program“ means a loyalty program through which the Program members, by buying products and/or services using the co-branded card at the sales locations of the partnership trading network and at the Bank’s POS terminal, obtain the right to reimbursement in the amount of a certain percentage out of the funds that have been paid for using the co-branded card, but deducting the management fee..

2.3. The owner of the Loyalty Program, NEP Lojaliti ltd. export-import Skopje, is a trading company that has been established and operates in compliance with the legislation of the Republic North Macedonia and has registered its office at the ‘str.Belasica, no. 2 East Gate Mall K.2 loc.2.1, 1000 Skopje - Gazi Baba;

2.4. The issuer of the co-branded card, the NLB Bank AD Skopje has been established and operates in compliance with the legislation of the Republic North Macedonia and has registered its office at the ‘Voodnjanska’ street, no. 1, 1000 Skopje;

2.5. “A Program Partner“ is any trading company or sole trader who has made a contract with the Owner of the Program for their participation in the Program; The List of Partners who participate in the Program is published on the website of the Program Owner, www.happycard.mk and on the website of the issuer of the payment card, www.nlb.mk.

2.6. A partnership trading network represents all the sales locations of all partners, where the Program Members can obtain their benefits set out in the Program by making payments using the co-branded card at the Bank’s POS terminal. 

2.7. A transaction means purchase of any product and/or service by the Program Member, within the partnership trading network, by using the co-branded card at the Bank’s POS terminal.

2.8. “A co-branded card” is a payment card, with or without a predetermined credit limit, issued by the Issuer, the NLB Bank AD Skopje, in favor of the Program Member. The issuer is authorized to keep record of all transactions made by the Program Member. The Program Member authorizes the Issuer, without any special consent, to share or convey the records of the transactions made by the Program Member, within the partnership trading network, to the Program Owner. 

2.9. Percentage of cashback means the percentage of the total value of the Transactions made by the Program Member at the sales locations of any Program Partner and at the Bank’s POS terminal. The amount of cashback is set by a Partnership Program signed between the Owner and each Program Partner respectively. The amount of cashback for each Partner is published on the website of the Program Owner, www.happycard.mk and the website of the Issuer of the payment card, www.nlb.mk.  The percentage of reimbursed funds is collected by the Issuer of the card from the Program Partners, based on a Partnership Contract for the HAPPY Loyalty Program, signed between the Owner and each Program Partner respectively, for every transaction made and in favor of the Program Member.

2.10. Management fee means the amount which is deducted from the percentage of the reimbursed funds. The management fee funds are used to finance further Program activities. .  


3. Membership conditions:

3.1. A Program member can become any private and adult person that shall agree to the Terms and shall meet the conditions prescribed by the Issuer of the co-branded card. The conditions and necessary documentation for the issuance of the co-branded card are published on the website of the card Issuer www.nlb.mk and the Program Owner’s website www.happycard.mk;


4. Obtaining the right to reimbursement:

4.1. By becoming a member to the Program and by issuing the co-branded card, the Program Members are entitled to a cashback during each transaction they make, within the partnership trading network, provided that those transactions are made using the co-branded card at the Bank’s POS terminal.

4.2. The cashback deducted by the management fee, the Program Members get it on monthly basis, in accordance with the agreed accounting period with the Issuer of the card, on an account related to the co-branded card.

4.3. Eligible transactions for cashback are all the transactions made using the co-branded card at a POS terminal of the Issuer of the co-branded card, which is installed at the sales location of the Program Partners, and the non-cash transactions at the sales network to whom the Issuer of the co-branded card provides cashback in accordance with the product features of the co-branded card published on the Program Owner’s website www.happycard.mk and the website of the co-branded card Issuer www.nlb.mk.


5. Reversal of the right to cashback: 

5.1. For each reversed transaction, which has been subject to a cashback, the right of the Program Member for cashback shall be reversed.


6. Membership cancellation:

6.1. The Program membership can be cancelled at any time by submitting a written request to the Issuer of the payment card to cancel the co-branded card in accordance with the terms of acquisition and use of the Bank card..


7. Privacy policy and protection of personal data

 7.1. The Program Members agree that the Program Owner and the Issuer of the coo-branded card process and exchange, between them, the personal data of the Program Members in scope and form that corresponds to the needs of operating the Program.

7.2. All information obtained by the Program Members, including their personal information that have been obtain directly or indirectly from the Members or via the Issuer of the co-branded card, shall be handled according to the internal rules of the Program Owner and the Issuer of the co-branded card for the protection of personal data and the applicable relevant regulations in the Republic of Macedonia.

7.3. By agreeing to the Terms of the Program, the Program Members agree that the Program Owner and the Issuer of the co-branded card to use their personal data for direct (SMS and/or e-mail) marketing, or in order to check or verify them at various databases or credit bureaus or registers in accordance with the legislation of the Republic of Macedonia.

7.4. By agreeing to these terms, the Program Member agrees that their personal data is recorded, stored and processed according to the regulations of the Republic of Macedonia, and the internal rules of the Program Owner and the Issuer of the co-branded card.
